Terms of Service

1. About These Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("Client", "you") and ONELIFE — Consultoria Marketing Digital Unipessoal Lda., a company registered in Portugal with tax number (NIPC) 516421212, with registered office at Rua do Vimal, Montelavar 2715-712, Portugal ("Pipeline Media", "we", "us", "our").

By submitting a free preview request, engaging with our services, or activating a website, you agree to be bound by these Terms. If you do not agree, please do not use our services.

These Terms apply globally. For clients in the European Union, additional rights under the General Data Protection Regulation (GDPR) apply as detailed in our Privacy Policy. For clients in the United States, additional state-specific rights may apply.

2. Our Services

Pipeline Media provides web design and development services for local service businesses. Our core service includes:

  • Free Website Preview: We design and deliver a fully functional preview of your potential website at no upfront cost
  • Website Activation: If you choose to proceed, we activate your website on your domain
  • Hosting & Maintenance: Ongoing hosting, updates, and maintenance via a monthly subscription
  • Related Services: SEO setup, integrations, redesigns, and other web-related services as agreed

The specific scope of each project is defined in your service agreement, proposal, or order confirmation.

3. The "Pay Only If You Like It" Model

3.1 The Free Preview

We offer a free website preview before any payment. This means:

  • We invest our time and resources to design and deliver a preview based on your business
  • You receive a live preview link to review at your pace
  • You are under no obligation to proceed, pay, or provide any compensation if you decide not to activate

3.2 Activation

If you decide to proceed:

  • You pay the agreed Activation Fee (one-time)
  • You commit to the agreed Monthly Plan for hosting, maintenance, and support
  • We launch your website on your chosen domain
  • Pricing in effect at the time of activation applies, as confirmed in writing during onboarding

3.3 If You Decline

If you decline to activate after seeing the preview:

  • You owe nothing
  • The preview link is deactivated within 14 days
  • We retain all intellectual property in the preview, including the design, code, and any custom components created during the preview phase
  • We may reuse generic design components, layouts, frameworks, and templates in other projects (we will not reuse your business name, logo, content, or business-specific information)

4. Intellectual Property

4.1 Before Payment

Until the Activation Fee is paid in full, Pipeline Media retains full ownership of all design, code, assets, and intellectual property created during the preview phase.

4.2 After Payment

Upon receipt of the Activation Fee in full:

  • You receive a perpetual, non-exclusive license to use the delivered website for your business
  • Pipeline Media retains ownership of any reusable design frameworks, code components, libraries, or template structures (we may use these in other client projects)
  • You retain all rights to content you provide (logos, text, images, brand assets)
  • You are responsible for ensuring you have the legal right to use any content you provide to us (see Section 7)

4.3 Domain Names

We strongly recommend that all domain names be registered in your name, not ours. If we register a domain on your behalf at your request:

  • The domain remains accessible to you and we will transfer it on request
  • You are responsible for any domain renewal fees beyond what is included in your Monthly Plan
  • We do not claim ownership of domains registered for clients

5. Payment Terms

5.1 Activation Fee

  • The Activation Fee is due upon written acceptance of the preview and before website launch
  • We accept payment via Stripe (credit/debit cards) and bank transfer
  • Payment is in EUR (or USD for US clients, as confirmed at activation) unless otherwise agreed
  • Activation Fees are non-refundable once the website is launched

5.2 Monthly Plan

  • The Monthly Plan covers hosting, security, basic updates, and standard support
  • Monthly payments are charged in advance on the same day each month, starting on the activation date
  • Payments are processed automatically via the payment method you provide
  • Failed payments may result in temporary website suspension after 7 days notice

5.3 Late Payments

  • Late payments may incur a late fee of 5% of the outstanding amount, plus interest at the legal rate
  • Continued non-payment may result in website suspension and ultimately termination per Section 8

5.4 Price Changes

We may revise prices for new clients at any time. For existing clients, we will give at least 30 days' written notice before any price change to the Monthly Plan, and you may cancel before the new price takes effect.

6. Cancellation and Termination

6.1 You May Cancel Anytime

You may cancel your Monthly Plan at any time by sending written notice to geral@usepipelinemedia.com.

  • Cancellation takes effect at the end of the current paid billing period
  • No refunds are issued for partial months
  • The Activation Fee is non-refundable

6.2 What Happens After Cancellation

After cancellation:

  • The website will remain online until the end of the paid billing period
  • After that period, hosting is discontinued and the website becomes inaccessible
  • You may request a static export of your website (HTML/CSS/JS files) for a one-time fee of €99, which we will deliver within 14 days
  • Custom integrations, dynamic functionality (forms, booking systems, databases), and CMS access are not part of the static export
  • We retain reasonable data and project records as required by Portuguese law and tax regulations

6.3 Our Right to Terminate

We may terminate this agreement with notice if:

  • You fail to pay amounts due
  • You materially breach these Terms
  • You use the website for illegal, fraudulent, or abusive purposes (see Section 7)
  • Continuing to serve you would expose us to legal or reputational risk

In case of immediate termination for cause, no refunds are issued.

7. Your Responsibilities

You agree that:

  • All content (text, images, logos, videos, data) you provide to us is owned by you or properly licensed
  • You will not provide content that infringes on third-party intellectual property, defames any person, violates privacy laws, or is otherwise illegal
  • You are responsible for the accuracy of business information displayed on your website
  • You will comply with all laws applicable to your business and your website's content
  • You will not use the website for spam, phishing, illegal activities, or any purpose that would harm Pipeline Media's reputation or expose us to liability
  • You are responsible for setting up and maintaining any third-party accounts integrated with your website (Google Business Profile, Calendly, email providers, etc.)

You agree to indemnify and hold Pipeline Media harmless from any claims arising from content you provide or actions you take in violation of these Terms.

8. Service Levels and Limitations

8.1 Availability

We use commercially reasonable efforts to maintain website availability. Our hosting infrastructure aims for 99% uptime, excluding:

  • Scheduled maintenance (with reasonable advance notice when possible)
  • Force majeure events
  • Issues with third-party providers outside our control
  • Issues caused by your own actions or content

We do not provide formal uptime SLAs or service credits unless explicitly agreed in a separate enterprise agreement.

8.2 Support

The Monthly Plan includes:

  • Email support during business hours (Monday-Friday, 9:00-18:00 Lisbon time / 4:00 AM - 1:00 PM Eastern Time)
  • Response within 24-48 business hours
  • Minor content updates and corrections (within reasonable scope)
  • Security updates and monitoring

The Monthly Plan does not include:

  • New page creation, redesigns, or new feature development
  • Marketing services (advertising campaigns, content creation, copywriting for new pages)
  • Third-party platform setup beyond initial integrations
  • Emergency 24/7 support

Additional work outside the Monthly Plan is billed at our then-current hourly rate, agreed in writing in advance.

8.3 Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claim related to these Terms or our services is limited to the amount you paid us in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption
  • We are not liable for third-party services integrated with your website (Google, Stripe, Calendly, etc.) — those are governed by their own terms

These limitations apply even if a remedy fails its essential purpose. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted.

9. Confidentiality

Both parties agree to keep confidential any non-public information shared during our engagement, including business strategies, customer data, financial information, and proprietary processes. This obligation survives termination of these Terms.

10. Privacy and Data Protection

Our Privacy Policy explains how we collect, use, and protect personal data. By using our services, you acknowledge and agree to our Privacy Policy.

When we process personal data on your behalf (e.g., contact form submissions on your website), we act as a data processor and you act as the data controller. If you require a formal Data Processing Addendum (DPA) for GDPR or US state law compliance, please contact us at geral@usepipelinemedia.com.

11. Governing Law and Disputes

These Terms are governed by the laws of Portugal, without regard to conflict of laws principles.

Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal.

For clients in the European Union, your statutory consumer rights under EU law are not affected.

For clients in the United States, you may have additional rights under federal or state consumer protection laws.

12. Changes to These Terms

We may update these Terms from time to time. When we do:

  • We will post the updated Terms on our website with a new "Last Updated" date
  • For material changes, we will notify active clients via email at least 30 days before the changes take effect
  • Continued use of our services after the effective date constitutes acceptance of the updated Terms
  • If you do not accept the changes, you may cancel before the effective date

13. Miscellaneous

  • Entire Agreement: These Terms, together with any signed proposals, order forms, and our Privacy Policy, constitute the entire agreement between you and Pipeline Media
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • No Waiver: Failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms to a successor entity in connection with a merger, acquisition, or sale of assets
  • Notices: Notices to us must be sent to geral@usepipelinemedia.com. Notices to you will be sent to the email address you provide

These Terms are provided in English (the primary language of our services). A Portuguese translation is available at /termos. In case of any conflict between the English and Portuguese versions, the English version prevails for international clients, except where Portuguese law specifically grants rights to Portuguese consumers.
